1. Service Description
Astridia Ltd (“we”, “us”, “our”) provides AI-powered tool building services through the Arkbay brand, including the design, development, and delivery of automations, dashboards, MVPs, integrations, and related digital products. Specific deliverables, timelines, and pricing for each engagement are set out in the individual service agreement provided before work commences.
2. User Obligations
By engaging our services, you agree to:
- Provide accurate and complete information about your project requirements.
- Respond to reasonable requests for clarification within a timely manner to avoid delays.
- Make payments in accordance with the terms set out in your service agreement.
- Use deliverables only for lawful purposes and in compliance with applicable laws and regulations.
- Not resell, sublicense, or represent our work as entirely your own without agreement.
3. Intellectual Property
Astridia Ltd retains ownership of this website, its content, and any proprietary frameworks, templates, or tools used in the delivery of services.
Upon receipt of full payment, the client owns all project deliverables as specified in the individual service agreement. This includes source code, designs, and documentation produced specifically for your project, unless otherwise agreed in writing.
4. Limitation of Liability
To the maximum extent permitted by law, Astridia Ltd’s total liability to you for any claim arising out of or in connection with a project shall not exceed the total fees paid by you for that specific project.
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunity, even if we have been advised of the possibility of such damages.
5. No Warranties
This website and any related materials are provided “as is” without warranty of any kind. We make no warranties beyond those expressly set out in your service agreement, including no implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
6. Governing Law
These terms and any disputes arising from them shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over any disputes, subject to the dispute resolution process below.
7. Dispute Resolution
In the event of a dispute, both parties agree to first attempt resolution through good faith negotiation. If negotiation fails within 30 days, the parties agree to pursue mediation through a mutually agreed mediator before commencing any formal legal proceedings.
8. Amendments
We reserve the right to amend these terms at any time. Where changes are material, we will provide at least 30 days’ notice by posting the updated terms on this page and updating the “Last updated” date. Continued use of our services after the notice period constitutes acceptance of the revised terms.
